Merchant Agreement

Last updated: 12 October 2026

This agreement is between Shira and the merchant who creates a store on the platform, and it supplements the Terms & Conditions. By creating your store and agreeing at sign-up, you accept this agreement.

1. Each party's role

Shira provides the platform: the online store, the dashboard, and the payment and shipping tools. The merchant is the seller: they own their products, set their prices, contract with their customers, and are responsible for what they sell, to their customers and under the law.

2. Merchant obligations

  • Provide accurate information about themselves and their store, and keep it up to date.
  • Comply with the Acceptable Use Policy.
  • Fulfil orders within the stated time, and publish and honour a clear returns and exchanges policy in their store.
  • Serve their customers and resolve their complaints.
  • Pay any taxes and fees due on their sales.

3. Payments

  • Electronic payments (such as Paymera and Sham Cash) are settled between the customer and the merchant through the payment provider, under that provider's terms.
  • Cash on delivery through Shira's shipping carriers: the carrier collects the amount from the customer and transfers it to Shira. It shows in the merchant's wallet as "pending collection" until the transfer arrives, then is added to their balance after deducting the shipping fee and the cash-on-delivery fee for that order.
  • Cash on delivery without a Shira carrier (the merchant's own delivery): settled directly between the merchant and the customer.

4. Shipping and the wallet

  • The merchant buys the shipping waybill from Shira at the price shown to them before booking, and it is deducted from their wallet. The price shown is the price charged.
  • The merchant sets the shipping price their customer pays, and may make it higher or lower than the waybill price, or free.
  • Carrier fees (cash-on-delivery, cancellation and return fees) are paid by the merchant.
  • Shira's margin is tied entirely to the shipment: when a waybill is cancelled, if the carrier refunds the shipping fee, it is returned to the wallet in full together with Shira's margin; if the carrier does not refund it, the margin is not refunded either.
  • An order is not edited after it ships, and the carrier collects only the amount recorded on the waybill.
  • If the wallet balance becomes negative, the difference is a debt owed to Shira, deducted from upcoming collections or paid by topping up the wallet.

5. Plans and fees

Plans and their prices are shown in the dashboard. We notify the merchant before any material change in fees, and the change takes effect from the next billing cycle.

6. Customer data

The customer data in your store belongs to you and to them. We host and process it on your behalf only to run the store, under the Privacy Policy, and we do not sell it. You must use it only to fulfil orders and for permitted communication.

7. Suspension and termination

You can close your store at any time from the dashboard. We may suspend or close the store if this agreement or the Acceptable Use Policy is breached, if there is a risk of fraud, or if a debt is unpaid. Amounts owed by either party survive the closure and are settled.

8. Liability

We do not guarantee the service will run without interruption, and we are not liable for lost profits or indirect damages. In all cases our liability does not exceed the subscription fees the merchant paid Shira in the three months before the incident.

9. Changes

We may update this agreement. We publish the date of the last update at the top of the page, and we notify merchants of material changes before they take effect.

10. Law and contact

As in the Terms & Conditions (the sections Governing law and disputes, and Contact us).
