These Terms & Conditions (the “Terms”) govern your use of the Shira platform — the getshira.com website, the merchant portal, merchant storefronts, and the Shira merchant mobile app (together, the “Services”), operated by Shira (“Shira”, “we”, “us”). By creating an account or using the Services you agree to these Terms. If you do not agree, do not use the Services.
What Shira is (and is not)
Shira is a technology platform that enables merchants to create online stores, list products, and receive and manage orders. Shira is not the seller of the products offered on merchants' storefronts. Each sale is a contract between the merchant and their customer: the merchant is solely responsible for their products, prices, descriptions, stock, order fulfilment, delivery, returns, and customer service, and for complying with the laws that apply to their business.
Accounts and eligibility
- You must provide accurate information (including a valid phone number and email) and keep it up to date.
- You are responsible for everything that happens under your account and for keeping your sign-in access secure. Notify us immediately of any unauthorised use.
- Merchant staff accounts act on behalf of the merchant; the merchant remains responsible for their staff's actions.
- You must be legally capable of entering into a contract to open a merchant account.
Acceptable use
You agree not to use the Services to:
- Sell or promote anything illegal, counterfeit, dangerous, or misleading, or infringe others' intellectual-property rights.
- Break the law, commit fraud, or harm, deceive, or harass others.
- Interfere with the operation or security of the Services, attempt to access other tenants' data, or probe, scan, or test vulnerabilities without written permission.
- Send spam or unsolicited communications through the platform.
- Resell, copy, or scrape the Services except as expressly allowed.
Merchant content
Merchants keep ownership of the content they upload (product names, descriptions, images, branding). By uploading it, the merchant grants Shira a non-exclusive licence to host, display, and process that content as needed to operate the Services (for example serving it on the storefront and generating optimised images). The merchant confirms they have the rights to everything they upload.
Plans, fees, and trials
- Parts of the Services may be free (including during beta) and parts may require a paid plan. Current plans and prices are shown inside the portal or on the website.
- Fees, plan limits, and features may change; we will give reasonable notice of material changes, and changes apply from the next billing period.
- Payment-provider fees, delivery costs, and taxes on merchants' sales are the merchant's responsibility.
- Where required by applicable law, taxes are added to our fees.
Payments and orders
Payments on storefronts are processed by third-party providers (for example Paymera) or settled directly between customer and merchant (cash on delivery, bank or wallet transfer). Shira is not a party to the payment and does not hold customer funds. Refunds, exchanges, and returns are governed by the merchant's own policy and applicable law — customers should address them to the merchant.
Beta services
Features marked beta (or provided during a closed/open beta period) are offered as-is for evaluation: they may change, break, or be withdrawn without notice, and service levels do not apply to them. We appreciate — but do not owe compensation for — feedback, which we may use to improve the Services.
Availability and changes to the Services
We work to keep the Services available and secure, but they are provided "as is" and "as available" — we do not guarantee uninterrupted or error-free operation. We may modify, add, or remove features, and we may suspend the Services for maintenance. Where reasonably possible we give advance notice of significant disruptions.
Suspension and termination
- You may close your account at any time from the portal/app or by contacting support.
- We may suspend or terminate an account that breaches these Terms, creates legal or security risk, is used for prohibited activity, or has unpaid fees — with notice where practicable.
- On closure, we may retain certain records as described in the Privacy Policy (for example order history retained for legal and accounting obligations).
- Merchants are responsible for exporting the data they need before closure; a data export is available in the portal.
Intellectual property
The Services — including the platform software, design, and the Shira name and logo — are owned by Shira or its licensors and are protected by intellectual-property laws. These Terms grant you only a limited, non-exclusive, non-transferable right to use the Services while your account is in good standing; no other rights are granted.
Disclaimer and limitation of liability
To the maximum extent permitted by law: Shira disclaims all implied warranties (including merchantability and fitness for a particular purpose); Shira is not liable for the acts or omissions of merchants, customers, payment providers, delivery companies, or other third parties; and Shira is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data. Shira's total aggregate liability arising out of the Services is limited to the amounts you paid to Shira in the twelve (12) months before the event giving rise to the claim (or, if you paid nothing, a nominal amount). Nothing in these Terms excludes liability that cannot be excluded by law.
Indemnity
Merchants agree to indemnify and hold Shira harmless from claims, damages, and expenses (including reasonable legal fees) arising from their store, their products, their content, their breach of these Terms, or their violation of applicable law or third-party rights.
Privacy
Our collection and use of personal data is described in the Privacy Policy, which forms part of these Terms.
Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date; for material changes we will give notice in the portal, the app, or by email. Continuing to use the Services after changes take effect means you accept the updated Terms.
Governing law and disputes
These Terms are governed by the laws applicable in the jurisdiction where Shira is established. Before starting any formal proceedings, you agree to contact us first so we can try to resolve the matter amicably. [Governing law and venue to be confirmed with counsel before public launch.]
